Terms & Conditions

1. Acceptance of Terms

These Terms govern access to and use of the AlchemiStudio website, platform, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent (“Customer”).

If you are using the Service on behalf of an organization, you represent you have authority to bind that organization.

2. The Service

AlchemiStudio is an enterprise agentic workspace that enables Customers to create, deploy, and govern AI agents connected to enterprise systems, tools, and knowledge, with centralized controls such as permissions, guardrails, and audit trails.

3. Account Registration and Administration

  • You may need an account to use the Service.

  • Customer is responsible for all activity under its accounts, including actions by authorized users and administrators.

  • Customer must ensure users keep credentials secure and promptly notify us of unauthorized access.

4. Customer Content and Responsibilities

4.1 Customer Content

“Customer Content” means any data, text, prompts, files, documents, or other materials submitted to the Service by Customer or its users (including via connectors).

Customer retains ownership of Customer Content. You grant us a limited license to host, process, transmit, and display Customer Content only to provide and improve operation of the Service in accordance with these Terms and applicable agreements.

4.2 Customer Responsibilities

Customer is responsible for:

  • ensuring it has rights and permissions to provide Customer Content,

  • configuring appropriate access controls and guardrails,

  • ensuring use complies with law, internal policies, and these Terms.

5. AI Outputs and Use of Third-Party Models

The Service may generate outputs, recommendations, summaries, code, or actions (“Outputs”). Outputs may be incorrect or incomplete and should be reviewed where appropriate.

The Service may route requests to third-party model providers (e.g., LLMs) and may integrate with third-party tools/connectors at Customer’s direction. Customer understands that:

  • Outputs are generated probabilistically and may vary,

  • third-party services are subject to their own terms,

  • Customer controls whether and how it connects third-party services.

6. Acceptable Use

You agree not to:

  • use the Service for unlawful, harmful, or abusive activity,

  • attempt to bypass security controls, access data you’re not authorized to access, or interfere with the Service,

  • introduce malware or attempt to exploit vulnerabilities,

  • use the Service to develop or distribute prohibited content or to violate third-party rights.

We may suspend or restrict access for suspected violations.

7. Security, Guardrails, and Audit

AlchemiStudio provides governance features (e.g., access controls, guardrails, audit trails). Customer is responsible for choosing and configuring these controls appropriately for its use cases and compliance obligations.

8. Fees, Trials, and Payment

If the Service is offered under a paid plan, fees and billing terms will be described in an order form, statement of work, or subscription agreement (“Order”). Unless the Order states otherwise:

  • fees are due in advance,

  • taxes are excluded and may be charged where applicable.

Enterprise Contracting: The Service is typically provided under negotiated enterprise terms. In case of conflict, the signed Order controls.

9. Refunds

Refunds (if any) are governed by our Refund Policy and/or the applicable Order.

10. Intellectual Property

We own and retain all rights in the Service, including software, designs, and documentation, except for Customer Content. No rights are granted other than as expressly stated.

If you provide feedback, you grant us the right to use it without restriction or obligation.

11. Third-Party Services and Connectors

The Service may link to or integrate with third-party services. We do not control third-party services and are not responsible for them. Customer is responsible for enabling, disabling, and managing third-party integrations.

12. Suspension and Termination

We may suspend access if we reasonably believe there is a security risk, legal violation, or breach of these Terms.

Either party may terminate according to the Order (or, if none, by written notice). Upon termination:

  • access to the Service may end,

  • data export/deletion will follow our documented process and the Order.

13. Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE.

  • OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO US FOR THE SERVICE IN THE [3/6/12]-MONTH PERIOD BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

Customer will indemnify and hold us harmless from claims arising from Customer Content or misuse of the Service. We will indemnify Customer for claims that the Service infringes third-party IP, subject to standard exceptions and procedures.

16. Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., email or in-product notice). Continued use after the effective date means acceptance.

18. Governing Law

These Terms are governed by the laws of India. Courts in Bangalore will have exclusive jurisdiction, unless the Order states otherwise.
